These terms govern your use of WorkPaid. By creating an account or using the service you agree to be bound by them. If you don't agree, don't use the service.
WorkPaid is operated by [LEGAL ENTITY NAME] ("we", "us", "our"), a company registered in England and Wales with company number [COMPANY NUMBER].
1. What WorkPaid is (and what it isn't)
WorkPaid is a software platform that helps UK tradespeople send quotes, take deposits, request milestone or final payments, and issue invoices. We facilitate the transaction; we are not a party to the contract between a tradesperson and their customer.
We are not: a tradesperson, a contractor, an insurer, an escrow service, a bank, a broker, or a regulated financial services provider. Payment processing is provided by Stripe under their own terms.
2. Eligibility and account
- You must be at least 18 years old and based in the United Kingdom.
- If using WorkPaid as a tradesperson, you must be lawfully entitled to provide the services you quote for (including any required licences, insurance, or qualifications).
- You're responsible for keeping your login credentials secure. Tell us immediately if you suspect unauthorised access.
- You must provide accurate, complete information when you register and keep it up to date.
- You may not create accounts using false identities or for fraudulent purposes.
3. Service description
The service includes:
- Creating, sending, and tracking quotes (single-payment, deposit + final, or multi-stage milestone)
- Adding mid-job amendments for required additional work
- Attaching a free-text cancellation policy to a quote, which the customer sees and accepts when they pay
- Setting a due date for the final payment
- Receiving payments via Stripe - by card or Pay by Bank (open banking) - with payouts to your bank via Stripe Connect, including an optional Instant Payout
- Auto-generated invoices and PDF downloads
- Late-payment reminder emails
- Customer review collection
- An earnings dashboard with CSV export suitable for use as source data in your MTD-compatible bookkeeping software
We may add, change, or remove features from time to time. Material changes will be communicated by email.
4. Fees
WorkPaid charges:
- A 2.5% platform fee on the gross amount of every payment processed through Stripe via your WorkPaid account, capped at £500 per quote. This is deducted automatically from each payout via Stripe's application_fee mechanism.
- Payment processing is absorbed by you, the trade, not your customer. Card is Stripe's fee, currently 1.5% + 20p on UK consumer cards; Pay by Bank (open banking) is lower, currently 0.5% + 20p capped at £5. Stripe deducts the applicable fee at source from your payout, so your customer is charged exactly the quoted amount (plus WorkPaid's 2.5% only if you choose to pass that fee on) with no separate surcharge.
- Instant Payouts (optional). If you turn on Instant Payouts, Stripe's instant-payout fee - currently 1% of the amount paid out - is deducted from that payout in exchange for the money arriving in minutes rather than the standard 1-2 working days. Standard payouts carry no such fee. You can switch Instant Payouts off at any time in your profile.
There is no monthly subscription fee. You only pay when you get paid. Fees may change with 30 days' notice by email.

5. If you're a tradesperson using WorkPaid
You agree that:
- The contract for the work itself is between you and your customer. We are not party to it.
- You're responsible for the quality, timeliness, and legality of the work you perform.
- You're responsible for your own taxes (income tax, VAT if registered, National Insurance, MTD compliance) - the earnings dashboard and CSV export are tools, not tax advice.
- You're responsible for any required licences, insurance, registrations, or qualifications for your trade.
- You must accurately describe the work and price in every quote.
- If you attach a cancellation policy to a quote, it forms part of your agreement with your customer. You are responsible for making sure its terms are lawful and fair - including under the Consumer Rights Act 2015 and, for consumer customers, the Consumer Contracts Regulations 2013. WorkPaid displays and records the policy but is not a party to it and does not enforce it.
- You must not use WorkPaid to send misleading quotes, falsify amendments, or process fraudulent payments.
- If a customer raises a dispute with their card provider (chargeback), Stripe handles it under their dispute terms - including potentially deducting the disputed amount from your future payouts. Pay by Bank (open banking) payments have no chargeback mechanism.
- When Stripe notifies us of a refund or chargeback on one of your charges, we record the event in your account's audit trail and email you so you can reconcile your records. We do not automatically reverse the quote or invoice status - that remains under your control.
6. If you're a customer paying a WorkPaid quote
You agree that:
- The contract for the work is between you and the tradesperson who sent you the quote. We are not party to it.
- By accepting a quote - which you do by paying its deposit or the amount due - you agree to pay the amount stated and to any cancellation policy or terms the tradesperson has attached to that quote.
- By approving a mid-job amendment, you agree to the additional amount being added to your final payment.
- Any deposit is dealt with in line with the cancellation policy shown on the quote and your statutory rights. WorkPaid does not decide whether a deposit is refundable - that is a matter between you and the tradesperson.
- Where the law gives you a cancellation or cooling-off right - for example the 14-day right to cancel under the Consumer Contracts Regulations 2013 for contracts agreed at a distance or away from the tradesperson's premises - that right is not removed by the tradesperson's own cancellation policy.
- Card and Pay by Bank payments are processed by Stripe under their own terms.
- Refund or dispute requests should first be raised with the tradesperson directly. If unresolved, you have rights under the Consumer Rights Act 2015. Card payments can also be disputed through your card provider (chargeback); Pay by Bank payments have no chargeback mechanism, so the Consumer Rights Act route applies.
7. Disputes between trade and customer
WorkPaid is a recording and facilitation tool. We do not arbitrate disputes between tradespeople and their customers about the quality, completion, or pricing of work.
In any dispute, the platform records (quote acceptance timestamps, amendment approvals, payment events, customer-supplied decline reasons) may be used as evidence. We will provide reasonable cooperation if formal legal proceedings require us to disclose records, subject to applicable law.
For UK consumers, your statutory rights under the Consumer Rights Act 2015 are unaffected by anything in these terms.
8. Acceptable use
You must not use WorkPaid to:
- Process fraudulent transactions or launder money
- Send unsolicited spam emails (we'll throttle or terminate accounts that abuse the email features)
- Misrepresent your identity, qualifications, or the nature of work
- Reverse engineer, scrape, or attempt to gain unauthorised access to the platform
- Interfere with the platform's operation (denial-of-service, abusive request volumes, bypassing rate limits)
- Process payments for prohibited categories (firearms, regulated drugs, adult services, gambling, MLM schemes - this list mirrors Stripe's restricted businesses)
- Resell the platform or sublicense access
We reserve the right to suspend or terminate accounts that breach these rules.
9. Intellectual property
The WorkPaid platform, name, logo, and software are owned by us. You're granted a limited, revocable, non-exclusive licence to use the platform under these terms.
You retain ownership of the data you put into WorkPaid (your quotes, customer information, line items, etc.). You grant us a licence to host, process, and display that data as needed to deliver the service.
10. Service availability
We aim for high availability but don't guarantee uninterrupted service. Scheduled maintenance, third-party outages (Stripe, Resend, hosting), and unforeseen issues may cause downtime. We don't offer a formal SLA at this stage.
11. Limitation of liability
Nothing in these terms excludes or limits liability that cannot be excluded under UK law (e.g. liability for death or personal injury caused by negligence, or fraud).
Subject to that, to the fullest extent permitted by law:
- We are not liable for indirect, special, or consequential losses (loss of profits, loss of business, loss of data, loss of goodwill).
- Our total aggregate liability to you for any claim arising out of or related to the service is capped at the greater of: (a) the platform fees you've paid us in the 12 months preceding the claim, or (b) £1,000.
- We are not liable for the conduct, quality of work, or financial condition of any tradesperson or customer using the platform.
For consumers, your statutory rights under the Consumer Rights Act 2015 are unaffected.
12. Termination
You can close your account at any time from your Profile page (Close account), or by emailing hello@workpaid.uk. Closing signs you out and prevents further sign-in; active in-flight quotes and payments will continue to settle through Stripe's normal payout schedule. You can ask us to reopen a closed account.
We may suspend or terminate your account for breach of these terms, suspected fraud, or legal/regulatory reasons. Where reasonably possible we'll give notice.
On termination, we'll retain records as required by law (typically 6 years for financial records) but you can request deletion of optional data per the Privacy Policy.
13. Changes to these terms
We may update these terms from time to time. The "Last updated" date at the top reflects the latest revision. For material changes (e.g. fee increases, significant new obligations), we'll notify active users by email at least 30 days before the change takes effect.
Continuing to use the service after changes take effect means you accept the updated terms.
14. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers may bring proceedings in the jurisdiction of their UK home country.
